These terms and conditions together with the order, constitute an offer by the Buyer to rent/purchase the Materials from Seller pursuant to the terms and conditions described.
This offer shall become an ‘Agreement’ upon acceptance by the Seller.
The purchase price for the Materials stated in the order form includes all taxes, duties, fees or other charges due to the materials, including shipping costs.

ACCEPTANCE & RETURNS
Buyer shall have reasonable opportunities to inspect the goods after the same have been delivered to them.
The definition of unsatisfactory or defective are limited to: goods not delivered on agreed date/time and/or goods not delivered according to sketch and agreed upon materials. Note that sketches are for illustration purposes and will vary based on the shape of buyer and in the manufacturing process.

CANCELLATIONS
Seller shall give Buyer reasonable advance written notice of any production change related to materials one month before stated date or cancellation of materials one month before stated date. No refund will be provided upon buyer’s cancellation.

SINGAPORE LAW AND COMPLETE AGREEMENT
This Agreement shall be governed by and construed in accordance with the laws of Singapore. This Agreement is the only agreement between the Parties relating to its subject matter, and there are no other representations, warranties or other understandings between the Parties with respect to such subject, except as expressly set forth herein.

NO THIRD PARTY RIGHTS
A person who is not a party to this Agreement shall have no right under the Contracts (Rights of Third Parties) Act (Cap.53B) to enforce or to enjoy the benefit of any of its terms.

AMENDMENTS
No amendment or variation of this Agreement shall be effective unless in writing and signed by or on behalf of each of the Parties.

SEVERANCE
If any one or more of the provisions contained herein, or the application thereof in any circumstance, is held invalid, illegal or unenforceable in any respect for any reason, the validity, legality and enforceability of any such provision in every other respect and of the remaining provisions hereof shall not be in any way impaired, unless the provisions held invalid, illegal or unenforceable shall substantially impair the benefits of the remaining provisions hereof.
